Terms of Use

These Terms of Use ("Terms") govern your access to and use of the CharacterAI Lab website, dashboard, APIs, and related services available at https://app.characterailab.com (collectively, the "Service").

By creating an account, purchasing credits, uploading assets, or otherwise accessing the Service, you agree to be bound by these Terms and all applicable laws. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and the term “you” includes the organization.

CharacterAI Lab provides tools for training consistent AI characters and generating media derived from user-provided inputs. The Service is currently offered on a hosted, self-serve basis and may include beta or preview features that change frequently.

We may modify, limit, or discontinue any aspect of the Service at any time. Meaningful changes will be communicated through the app, documentation, or email associated with your account.

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.

• Provide accurate registration details and keep them up to date.
• Maintain the confidentiality of your credentials and promptly notify us of suspected misuse.
• Accept that you are responsible for all activity that occurs under your account, including actions performed by collaborators you invite.

You retain ownership of photos, videos, prompts, metadata, and other content you upload (“User Content”). By submitting User Content, you grant CharacterAI Lab a worldwide, non-exclusive, transferable license to host, process, reproduce, and generate derivative works (such as model checkpoints, embeddings, and outputs) solely to provide and improve the Service.

You confirm that you have the rights and permissions necessary to upload the User Content, that it does not infringe the rights of others, and that it complies with all applicable laws and community standards.

Subject to your compliance with these Terms and payment obligations, CharacterAI Lab grants you a limited, revocable, non-transferable license to access and use the Service and to download or share outputs you generate.

You are solely responsible for how you use outputs. You must not present generated content as factually accurate without appropriate verification or use it to violate privacy, publicity, or intellectual property rights.

Paid plans, credit packs, and subscription fees are disclosed within the Service at the time of purchase. All charges are non-refundable except where required by law.

Trials and promotional credits may be modified or discontinued without notice. Credits expire on the date communicated in the app or at the time of purchase.

You agree not to misuse the Service. Prohibited conduct includes, but is not limited to:

• Uploading content that is unlawful, defamatory, hateful, exploitative, or otherwise harmful.
• Attempting to reverse engineer, decompile, scrape, or bypass technical safeguards.
• Using the Service to train or deploy competing models, to impersonate individuals, or to create deceptive or fraudulent media.
• Interfering with other users or the stability of our infrastructure.

All software, branding, documentation, and other materials provided by CharacterAI Lab are protected by intellectual property laws and remain our exclusive property.

You may submit ideas or feedback about the Service. By doing so, you grant us a perpetual, irrevocable license to use that feedback without obligation to you.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARACTERAI LAB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

To the fullest extent permitted by law, CharacterAI Lab, its officers, employees, and suppliers will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, even if we have been advised of the possibility. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us in the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless CharacterAI Lab from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

We may suspend or terminate your access immediately if we believe you have violated these Terms, pose a security risk, or create possible liability for CharacterAI Lab or other users. You may close your account at any time through the dashboard.

Upon termination, Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and dispute resolution) will remain in effect.

These Terms are governed by the laws of the State of California, excluding its conflict of law provisions. The parties agree to resolve disputes through binding arbitration in San Francisco County, California, unless you reside in a jurisdiction that requires a different forum.

Either party may seek injunctive relief in any court of competent jurisdiction for misuse of confidential information or intellectual property rights.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date and provide notice through the Service or by email when required. Your continued use after an update constitutes acceptance of the revised Terms.
